These Terms of Service (“Terms”) govern access to AdClearify, a B2B SaaS platform for media buyers. By creating an account, starting a free trial, or using the product, you agree to these Terms on behalf of yourself and the business you represent.
1. The service
AdClearify provides software tools for video and audio processing, including metadata scrubbing, audio obfuscation (such as micro-silencing selected words), transcription, optional burned-in captions, and AI-assisted script variations. We provide an editing and processing workflow — not legal advice, not advertising-policy approval, and not a substitute for your own compliance review.
2. Accounts and eligibility
You must be able to enter a binding contract for your organization. You are responsible for all activity under your login, including teammates you invite. Keep credentials secure and notify us promptly if you suspect unauthorized access.
3. Credits and billing
Video processing consumes credits. Unless we state otherwise, one processed video export consumes one credit. Free-trial credits, if granted, are provided at our discretion and may expire. Paid plans add credits according to the plan you purchase through Stripe Checkout.
- Used credits are non-refundable. Once a processing job has started or completed, the credit is consumed.
- Subscriptions may be canceled at any time. Cancellation stops future renewals; it does not automatically refund the current billing period or restore consumed credits.
- Taxes, currency conversion, and payment-processor fees may apply as charged by Stripe.
Failed, interrupted, or user-cancelled jobs may still consume a credit if compute or third-party APIs were already invoked. We may, at our sole discretion, restore a credit for a documented platform outage.
4. Disclaimer of guarantees
AdClearify is an editing and processing tool. We do not guarantee that your ads will be approved, that your ad accounts will never be banned, restricted, disabled, or shadow-limited by Meta, TikTok, Google, Snap, or any other platform, or that obfuscation will evade automated or human review.
Advertising platforms change policies, detection systems, and enforcement without notice. Outcomes depend on creative content, landing pages, pixels, account history, bidding behavior, and factors outside our software. You assume all risks associated with media buying and platform compliance.
To the maximum extent permitted by law, AdClearify, its owners, and suppliers are not liable for lost ad spend, banned accounts, lost business, lost profits, or other indirect or consequential damages arising from your use of the service or from platform enforcement.
5. Acceptable use
You may not use AdClearify to:
- Mask illegal content, scams, fraud, phishing, or impersonation.
- Process highly restricted or prohibited materials (including, without limitation, child sexual abuse material, terrorist content, or other content that is illegal in applicable jurisdictions).
- Circumvent sanctions, money-laundering rules, or consumer-protection laws.
- Attack, overload, or reverse engineer the service except as allowed by law.
- Resell access without a written partner agreement.
We may suspend or terminate accounts that we reasonably believe violate these rules, with or without notice, and we may refuse to process jobs that appear to violate them.
6. Your content and license
You represent that you have the rights to upload and process each file. You grant AdClearify a limited, non-exclusive license to host, transcode, transcribe, and otherwise process that content solely to provide the service. We do not claim ownership of your ads. After a job finishes, we delete working files as described in our Privacy Policy.
7. Third-party services
Billing is handled by Stripe. Transcription and script features may call secure AI APIs. Your use of those features is also subject to those providers’ terms. We are not responsible for outages, model errors, or policy changes of third parties.
8. Intellectual property
The AdClearify name, product, UI, and underlying software are owned by us. You may not copy, scrape, or create a competing service from our interface or documentation except as permitted by a separate written license.
9. Service changes and availability
We may modify features, credit amounts, pricing, or these Terms. We may pause the service for maintenance or security. We do not warrant uninterrupted or error-free operation.
10. Termination
You may stop using AdClearify and cancel your subscription at any time. We may suspend access for non-payment, suspected abuse, or legal risk. Sections that by their nature should survive (including disclaimers, limitation of liability, acceptable use, and credit/refund rules) remain in effect after termination.
11. Limitation of liability
Except for liability that cannot be limited under applicable law, our total liability for any claim relating to the service is limited to the fees you paid to AdClearify for the three (3) months preceding the claim. Credits have no cash value except as required by law.
12. Governing law
These Terms are governed by the laws applicable to our principal place of business, without regard to conflict-of-law rules, unless a mandatory local law for your organization requires otherwise. Courts in that venue have exclusive jurisdiction, except where prohibited.
